M&A Integration
Several years ago, a major study examined some 40 mergers and acquisitions worth more than $1 billion apiece that had failed to deliver their expected results. To no one's surprise, the number-one reason for deal failure was "poor integration" - characterized by loss of key staff, inadequate due diligence and delays in communication.
Mergers dictate dramatic transformation and change. When this change is not managed effectively by the organization's leadership, the downside tends to be steep and immediate.
Why Leaders and Organizations Fail During Transition
- They don't establish a sense of urgency in fellow leaders and employees.
- They ignore the need for the executive team to pull together as a "guiding coalition" for change.
- They do not create a sensible vision for change that will direct, align, and inspire actions by the employees involved.
- They don't provide enough or credible communication to employees or other stakeholders.
- They permit obstacles to block the new vision.
- They fail to create short-term wins.
- They declare victory too soon.
- They neglect to anchor changes firmly into the corporate culture.
(Excerpts from John P. Kotter's book Leading Change)
If change is to be successful, the process must be led effectively to ensure continued productivity and to maintain positive morale. There must be a well-executed plan and a sincere acceptance of the new environment by employees. This integration plan should define the intent, approach and metrics critical to the overall success of the combination.
